MetaHub Subscription Agreement — Terms of Subscription

You can manage or cancel your subscription at any time from your account. Cancelling stops the next renewal; your plan stays active until the current period ends.

By subscribing, paying the Subscription Fee and using the Services set out below, you agree that you have read and understood these Terms of Subscription. These Terms of Subscription are a legally binding agreement between you (“Subscriber”) and Footballhub Sdn Bhd (“Footballhub”). If you do not agree to these Terms of Subscription, please do not use or continue to use the Services.

Subscription Form

Subscription Packages

General Services: access to the online booking facilities and sports information via footballhub.my and/or metahub.my (the “Platform”); access to participating Footballhub facilities; and the membership benefits of the plan selected below. Membership plans (monthly, in MYR):

Prime Credits are a monthly allowance usable towards prime-slot field bookings as described on the Platform; they expire with a one-month roll-over, have no cash value and are not transferable.

Fees and Structure

• The Subscription Fee is the monthly fee of the plan selected above, billed monthly in advance.
• The subscription renews automatically each month, on the same date as the initial subscription, until cancelled by the Subscriber.
• Where a renewal Subscription Fee is due but not paid, the subscription is automatically suspended, member benefits are withdrawn, and existing bookings (if any) may be cancelled (see Clause 9).
• Footballhub may charge Sales & Services Tax (SST) should it become necessary as mandated by the laws of Malaysia.

Mode of Payment

Card payment via the payment gateway (Fiuu). The Subscriber's card is securely tokenised at the first payment to enable the recurring monthly charges described in Clause 8.

Terms of Subscription

This Subscription Agreement (“Agreement”) is a legal agreement between Footballhub and the Subscriber. The person executing this Agreement on behalf of Footballhub represents that he or she is an authorised representative of Footballhub capable of binding it to this Agreement. Footballhub and the Subscriber agree as follows:

1. Requirements

• 1.1 The Subscriber must be an individual of 18 years and above, a citizen or permanent resident of Malaysia, and must not be an undischarged bankrupt.
• 1.2 Bodies corporate, businesses, trusts and partnerships may be accepted as a Subscriber at the discretion of Footballhub.
• 1.3 A Subscriber may hold one or more active subscriptions at any one time. Each subscription is tracked and governed separately under its own subscription identifier.
• 1.4 The Subscriber agrees to the terms and conditions set out in the Platform.

2. Definitions

• 2.1 “Agreement” means this Subscription Agreement and Terms of Subscription, as amended, supplemented or otherwise modified from time to time.
• 2.2 “Data” refers to information collected in the course of the Subscription Packages provided under this Agreement, including but not limited to a person's name, telephone number and email address, and information submitted by the Subscriber to the Platform.
• 2.3 “Parties” refer to the Subscriber and Footballhub collectively, and “Party” means any of them.
• 2.4 “Taxes” means goods and services tax, value added tax, and all other taxes, duties, levies, imposts, licence duties, registration fees and other charges howsoever described (as and when applicable).
• 2.5 “Prime Credits” means the monthly credit allowance included with a plan, usable towards prime-slot bookings as described on the Platform.
• 2.6 “Subscription Fee” means the monthly fee for the plan selected by the Subscriber.
• 2.7 “Token” means the tokenised representation of the Subscriber's card, stored with the payment gateway, used to process recurring charges.

3. Subscription

• 3.1 Footballhub authorises the Subscriber to access and use the Platform and available facilities as stated in the Subscription Package, subject always to there being no outstanding sums due and owing by the Subscriber to Footballhub. All benefits are subject to availability.
• 3.2 Footballhub reserves the right to change or suspend the availability of any feature, function or content relating to the Subscription Package, including the Platform, available facilities and benefits, at any time, without notice or liability.
• 3.3 Prime Credits are issued monthly, expire with a one-month roll-over, have no cash value, are not exchangeable for cash and are not transferable between accounts.

4. Restriction of Use

4.1 The Subscriber shall not make any use or disclosure of the Platform or the Data not expressly permitted under this Agreement. Without limiting the foregoing, the Subscriber shall not (and shall not permit any third party to):

• (i) reverse engineer, decompile, disassemble, or otherwise attempt to discern the source code or interface protocols of the Platform;
• (ii) modify, adapt, translate, or reproduce the Platform;
• (iii) resell, distribute, or sublicense the Platform on a “service bureau” basis, or otherwise allow any third party to use or access the Platform;
• (iv) remove or modify any proprietary marking or restrictive legend placed on the Platform;
• (v) use the Platform in violation of any applicable law or regulation, or for any purpose not specifically permitted in this Agreement; or
• (vi) introduce into the Platform any software, virus, worm, “back door,” Trojan Horse, or similar harmful code.

5. Service Level

5.1 Footballhub shall use all reasonable commercial efforts to ensure the Platform is available to the Subscriber at 99.9% uptime. Circumstances beyond Footballhub's reasonable control include (but are not limited to) acts of any governmental body, war, insurrection, sabotage, armed conflict, embargo, fire, flood, strike or other labour disturbance, unavailability of or interruption or delay in telecommunications or third-party services, virus attacks or hackers, and failure of third-party software (including e-commerce software, payment gateways and browser limitations).

6. Additional Products and Services

6.1 The Subscriber may add additional products and services at any time during the subscription as offered by Footballhub, including through the Platform, via email, or by phone at Footballhub's discretion. All add-ons are governed by this Agreement.

7. Invoicing, Payment Terms and Taxes

• 7.1 In consideration of the services provided by Footballhub (the “Services”), the Subscriber shall pay Footballhub the Subscription Fee and other fees, including but not limited to any admin fee (“Miscellaneous Fee”). Prices and mode of payment are set out in the Subscription Form and are exclusive of payable taxes (as and when applicable) unless separately identified and agreed.
• 7.2 The subscription period begins as stated in the Subscription Form, unless otherwise stated in writing.
• 7.3 If the Subscriber orders any additional products and services, the Subscriber shall pay Footballhub's add-on fees.
• 7.4 Footballhub may modify the Subscription Fees and Miscellaneous Fees (the “Fees”) at any time on written notice to the Subscriber, including by email, such modification to take effect fourteen (14) days after such notice.
• 7.5 The Subscriber shall bear and pay all payable taxes (as and when applicable), including making any deduction or withholding required by law and grossing up the amount payable so that Footballhub receives the net amount it would have received absent such deduction or withholding.

8. Payment to Footballhub

• 8.1 The Subscriber shall pay Footballhub all Fees due according to the prices and terms in the Subscription Form and this Agreement. All payments are non-refundable. Payments shall be made in full without set-off or deduction.
• 8.2 Recurring charge and tokenisation. A valid card is required to process payment. By subscribing and providing consent at checkout, the Subscriber authorises Footballhub to automatically charge the Subscriber's card the Subscription Fee on each renewal date, via the payment gateway (Fiuu), based on the billing/renewal cycle and regardless of actual usage. The first payment is authenticated with 3D Secure (3DS) and the card is tokenised; each subsequent recurring charge is a Merchant Initiated Transaction (MIT) processed using the stored Token, for which 3DS is not re-applied. The Subscriber acknowledges and consents to this recurring, tokenised charging.
• 8.3 Unpaid amounts may be subject to a late payment charge of 1.5% per month, or the maximum legal rate, whichever is higher. If payment is not received within three (3) calendar days of the billing/renewal date, Footballhub may suspend all services, access to the Platform and/or available facilities.
• 8.4 The Subscriber is obliged to review all Fees for accuracy and has seven (7) days from the date of billing to dispute a charge in writing. Failure to do so within that period constitutes the Subscriber's agreement that all Fees are valid and waives any related claims.
• 8.5 Within fourteen (14) days after termination of this Agreement, Footballhub may charge the Subscriber's card or approved facility for any outstanding Fees and payable taxes.
• 8.6 Notwithstanding anything to the contrary, Footballhub may set off and deduct any sums due and owing by the Subscriber from any amounts payable to the Subscriber.

9. Renewal, Cancellation, Pause, Termination and Suspension

• 9.1 The Subscriber may cancel the subscription via the Platform at any time before the next renewal. If cancellation is not executed before that date, the subscription automatically renews for the subsequent renewal period and the Subscriber is invoiced accordingly. Cancellation stops future renewal charges; access continues to the end of the current paid period.
• 9.2 Pause. The Subscriber may pause an active subscription and resume it later via the Platform. While paused, no charges are taken and member benefits are suspended; the Subscriber's remaining paid days are preserved and restored on resume. A subscription may only be paused where the Subscriber has no active or upcoming (unplayed) bookings.
• 9.3 Either Party may terminate this Agreement immediately by written notice if: (i) the other Party commits a material breach and, where capable of remedy, fails to remedy it within seven (7) working days of written notice; or (ii) the other Party becomes insolvent, is wound up, has a receiver, liquidator or judicial manager appointed, or ceases or threatens to cease business. Termination is without prejudice to accrued rights and remedies.
• 9.4 Upon termination or expiration for any reason: (a) Footballhub will cease providing the Services; (b) the Subscriber is not entitled to any refund of any Fees, pro rata or otherwise; and (c) any outstanding balance becomes immediately due and payable. Provisions which by their nature should survive termination (including warranty disclaimers and limitations of liability) survive.

10. Subscriber Data

• 10.1 Footballhub will use the Data only to carry out the subscription as permitted by this Agreement. To provide the subscription, Footballhub may modify and transfer the Data to third-party services, subject to those third parties' terms. Footballhub may retain an archival copy of the Data and shall employ commercially reasonable physical, administrative and technical safeguards to secure the Data.
• 10.2 The Subscriber agrees to remove or redact all sensitive information before transferring Data to Footballhub, including billing information and personally identifiable information collected from third parties. Footballhub has no liability arising from the disclosure of such information.
• 10.3 The Subscriber has sole responsibility for the accuracy, quality and legality of the Data. Footballhub does not claim any intellectual property rights over the Data.
• 10.4 Footballhub may monitor the performance and use of the Platform, combine such usage data with other data, and use the combined data in an aggregate and anonymised manner (e.g. statistics on the number of users, transactions, revenue and growth rates).

11. Third Party Services

• 11.1 Footballhub may recommend or enable third-party software, products, services or website links for the Subscriber's consideration or use, as a convenience. Some may be subject to additional third-party terms. Inclusion does not constitute endorsement or affiliation.
• 11.2 This Agreement does not apply to third-party websites; the Subscriber should review their policies and is solely responsible for complying with them. Access is at the Subscriber's own risk.
• 11.3 Footballhub makes no representations or warranties regarding third-party software, products or services and is not liable for them. The Subscriber's payments are processed by the payment gateway, Fiuu, subject to Fiuu's terms.
• 11.4 If the Subscriber enables a third-party service with the Services, the Subscriber grants Footballhub permission to allow the third-party provider to access the Subscriber's data as required for interoperation; any exchange is solely between the Subscriber and that provider, and Footballhub is not responsible for it.

12. Representations and Warranties

12.1 This Agreement is valid and binding on the Subscriber. The Subscriber has relied on its own judgment and not on any representation of Footballhub other than as expressly set out here, is not aware of any litigation restraining its entry into or performance of this Agreement, and is not subject to any outstanding judgment or order affecting its ability to perform.

13. Indemnity

13.1 Each Party shall indemnify, defend and hold harmless the other Party and its officers, directors, employees, attorneys and agents from and against all losses, liabilities, damages, fines and related costs (including reasonable legal fees) incurred in connection with any third-party claim arising from or alleging that the Party has breached its representations and warranties under this Agreement.

14. Exclusion and Limitation of Liability

14.1 Notwithstanding anything in this Agreement, in no event will either Party be liable to the other for indirect damages, regardless of cause. Each Party's maximum aggregate liability arising out of or in connection with this Agreement, whether in contract, statutory warranty or otherwise, for any single incident or series of related incidents, is limited to an amount equal to the Fees actually received by Footballhub under this Agreement. This liability cap does not apply to breaches by the Subscriber of Clause 4.

15. Notices

15.1 All notices shall be in writing and may be delivered personally or sent by prepaid registered post, electronic mail or via the Platform to the intended recipient at its address or electronic mail address.

16. Miscellaneous

• 16.1 Assignment. The Subscriber shall not assign, transfer, subcontract or delegate any of its rights or obligations without Footballhub's prior written consent. Footballhub may freely assign its rights and transfer its obligations by written notice.
• 16.2 Conclusiveness. A statement issued by Footballhub of any amount due from the Subscriber is conclusive evidence of that amount, save for the correction of any error.
• 16.3 Modification. Footballhub may amend these Terms of Subscription (including the available Subscription Packages) at any time by notice in writing, email, or by posting the amended Terms on Footballhub's website or the Platform.
• 16.4 Waiver. No failure or delay by Footballhub in exercising any right operates as a waiver; rights and remedies are cumulative.
• 16.5 Time. Time shall be of the essence in the performance of the Parties' obligations.
• 16.6 Third-party rights. A person who is not a party to this Agreement has no right under the laws of Malaysia to enforce any term.
• 16.7 Governing law. This Agreement is governed by, and construed in accordance with, the laws of Malaysia, and the Parties submit to the non-exclusive jurisdiction of the Courts of Malaysia.
• 16.8 Force majeure. No Party is responsible for any delay or failure in performance caused beyond its reasonable control, including acts of government, war, insurrection, sabotage, armed conflict, embargo, fire, flood, strike or other labour disturbance, pandemic, epidemic or endemic.

Headings are for reference only and do not affect the construction of this Agreement. By ticking the recurring-billing consent and completing payment, the Subscriber accepts this Agreement.
